Client Engagement Letter

Thank you for choosing Amani Kituto Advocates to provide legal services. This Engagement Letter sets out the terms upon which we will act for you and should be read together with any proposal, fee quotation, or retainer agreement provided to you.
1. Our appointment
You have instructed Amani Kituto Advocates ("the Firm", "we", "our", or "us") to provide legal services in relation to the matter described in your request and confirmed in our quote.
Our engagement shall be limited to the scope of work expressly agreed between us. Any additional work outside the agreed scope may require a separate engagement or adjustment of fees.
2. Scope of services
The Firm shall provide legal services including, where applicable: legal advisory and consultation; contract drafting, review and negotiation; corporate and commercial legal support; technology, AI and data protection advisory; regulatory compliance services; intellectual property advisory; conveyancing and property transaction support; and any other services specifically agreed in writing.
3. Fees and billing
Our fees are charged on one or more of the following bases, as stated in your quote: a fixed fee; a monthly retainer; an hourly rate; or, for a transaction, a fee agreed for that transaction.
Unless otherwise agreed: invoices are payable within fourteen (14) days of issuance; the Firm reserves the right to request an advance deposit or retainer before commencing work; disbursements, filing fees, government charges, travel expenses, courier costs, and third-party expenses are billed separately; and outstanding amounts may attract interest after the due date at the rate stated in your quote or invoice.
Prices shown on Reid are indicative. The fee that binds you is the one in the quote you accept.
4. Client responsibilities
You agree to: provide accurate and complete information relevant to the matter; respond promptly to requests for instructions or documentation; inform us of any changes affecting the matter; pay fees and disbursements when due; and cooperate with the Firm to facilitate efficient handling of the matter.
5. Confidentiality
We shall maintain the confidentiality of all information provided by you in accordance with applicable law, professional obligations, and the Advocates Act.
Confidential information may only be disclosed: with your consent; where required by law; pursuant to a court order; or where necessary to protect the Firm's legal rights.
6. Data protection
The Firm processes personal data in compliance with the Data Protection Act, 2019 (Kenya).
By engaging us, you consent to the collection, storage, processing, and use of your personal information for purposes related to the provision of legal services, compliance obligations, conflict checks, billing, and communication.
7. Communications
You authorize the Firm to communicate with you through email, telephone, WhatsApp, video conferencing platforms, and other reasonable digital communication channels, including messages on Reid.
While we employ appropriate security measures, electronic communications may carry inherent risks.
8. Use of technology
The Firm uses AI-assisted workflows, delivered through Reid, to work more clearly and quickly. All legal advice and final documents are reviewed by an advocate before delivery.
9. Conflicts of interest
The Firm shall conduct appropriate conflict checks before accepting instructions. If a conflict arises during the engagement, we shall promptly notify you and take appropriate action in accordance with professional obligations.
10. Limitation of engagement
Unless expressly agreed otherwise, our engagement does not include: tax advice; financial or investment advice; audit services; foreign law advice; or representation in litigation, arbitration, or regulatory proceedings not specifically covered by this engagement.
11. Termination
Either party may terminate this engagement by written notice. Upon termination: fees incurred up to the date of termination shall remain payable; the Firm may retain documents where permitted by law until outstanding fees are settled; and any unearned portion of an advance payment shall be refunded, subject to applicable deductions.
12. File retention
The Firm may retain client files and records for a reasonable period after completion of the matter in accordance with legal and professional requirements.
13. Governing law
This Engagement Letter shall be governed by and construed in accordance with the laws of the Republic of Kenya.
14. Acceptance
Accepting our quote on Reid records your acceptance of this Engagement Letter, in place of signing and returning a copy. An advocate-client relationship is formed only once the Firm has formally accepted your instruction.
